Terms of Service

1. Agreement to Terms

By accessing or using the NinjaSecure 365 platform at https://ninjasecure365.com, creating an account, or connecting a Microsoft 365 or Azure tenant, you agree to be bound by these Terms of Service. These Terms constitute a binding legal agreement between your organization and IT Ninjas, LLC ("Company", "we", "our"), trading as DR IT | The IT Ninjas.

2. Platform Services & Tenant Authorization

NinjaSecure 365 provides cloud security posture evaluation, benchmark crosswalks (CIS Foundations, CISA SCuBA, NIST 800-53, HIPAA, GLBA, CMMC), configuration drift detection, and FinOps cloud license optimization tools.

Customer Authority Representation: You represent and warrant that you hold full administrative legal authority, credentials, and client consent to authorize read-only or active-management OAuth 2.0 connections into any Microsoft 365 tenant or Azure subscription connected to the platform.

3. Subscriptions, Trials & Billing

• 14-Day Free Trials: Subscription plans include a 14-day evaluation period. During evaluation, export features (such as raw workbook downloads) may be gated until trial activation or subscription confirmation.
• Recurring Billing: Subscriptions renew automatically on a monthly or annual basis. You may cancel renewal at any time via the in-app billing manager or Stripe Customer Portal prior to your next billing cycle.
• One-Time Audit Passes: Single-tenant assessment passes provide a 30-day active audit window without recurring fees.

4. Security Posture & Legal Compliance Disclaimers

No Formal Compliance Certification: Assessments, reports, and benchmark crosswalks generated by NinjaSecure 365 are technical configuration evaluations and posture diagnostics. They do not constitute formal legal compliance certification, attestation, or statutory regulatory audit sign-offs (e.g., formal HIPAA, CMMC, or SOC 2 certifications).

No Guaranteed Zero-Risk: Security posture scores and risk findings reflect observed configurations at the moment of evaluation. They do not guarantee immunity from cyberattacks, credential compromise, or zero-day vulnerabilities.

5. FinOps Modeling & Savings Disclaimers

All license waste calculations, bundle overlap estimates, and potential savings projections provided in our ROI calculators or reports are illustrative models based on observed tenant seat assignments and industry benchmarks. They do not constitute guaranteed financial savings or contractual payback commitments.

6. Microsoft Trademarks & Third-Party Services

Microsoft 365, Microsoft Azure, Microsoft Entra, Microsoft Defender, and Microsoft Exchange are trademarks or registered trademarks of Microsoft Corporation. NinjaSecure 365 is an independent software platform developed by IT Ninjas, LLC and is not affiliated with, endorsed by, or certified by Microsoft Corporation.

7. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to conflict of law principles.
